Client Services Agreement

Engagement Overview

This Client Services Agreement governs design and engineering work that ZenshiLabs performs for clients. It sits alongside our Terms of Service: the Terms cover your use of our site and products, while this Agreement covers a paid build we deliver for you. Each engagement is scoped in a separate statement of work (SOW) that references these terms.

Scope & Statement of Work

Every engagement is defined in writing before work begins:

• A statement of work describing deliverables, milestones, and timeline
• Agreed pricing and payment schedule tied to milestones
• A clear definition of what is in and out of scope
• A change-request process for work beyond the original scope

Project Timelines

Timelines are established by ZenshiLabs in the SOW based on the agreed scope, deliverable complexity, and team availability at the time of engagement:

• All timelines reflect ZenshiLabs’ professional assessment of the agreed scope and are binding only where the SOW explicitly designates a date as a hard deadline
• Any change to the agreed scope — additions, modifications, or clarifications raised after the SOW is signed — will be handled through the change-request process and may result in revised timelines and pricing
• Client expectations of a shorter timeline than the one established in the SOW do not obligate ZenshiLabs to accelerate delivery; expedited scheduling may be arranged separately in writing, subject to availability
• Delays caused by factors outside ZenshiLabs’ reasonable control — including late or incomplete client feedback, unavailable third-party services or APIs, force majeure events, or client-initiated scope changes — extend the delivery timeline accordingly and do not constitute a breach of this agreement
• Where concurrent engagements, internal resource constraints, or unforeseen technical complexity affect scheduling, ZenshiLabs will notify the client promptly and provide a revised estimate; such occurrences are not grounds for penalty or claim against ZenshiLabs

Delivery & Quality

Our delivery standards for client work:

• Agile delivery with regular check-ins and visible progress
• Code review, testing, and quality assurance on all deliverables
• Secure development practices throughout the build
• Documentation and knowledge transfer at handoff

Intellectual Property

Ownership of the work we build for you:

• Full ownership of custom-developed software transfers to you upon final payment
• You receive the source code and technical documentation on completion
• You may modify and extend the delivered work freely
• Pre-existing ZenshiLabs tooling and any third-party components retain their own licenses

Payment Terms

How and when invoices are due:

• Invoices are issued against milestones defined in the SOW
• Payment is due within the period stated on each invoice
• Ownership of deliverables transfers only after final payment is received
• Engagements may be paused if invoices remain unpaid past their due date

Support & Maintenance

What happens after launch:

• A defined warranty window to address defects after delivery
• Optional ongoing maintenance and support under a separate retainer
• Security patches and dependency updates where a support plan is in place
• Response-time expectations set out in the relevant SOW or retainer

Disputes & Resolution

ZenshiLabs is committed to delivering work that meets the agreed scope. If a client is dissatisfied with any aspect of the engagement, the following process applies:

• All concerns must be raised in writing — email or a documented message through the agreed project channel — clearly describing the issue and the expected outcome
• ZenshiLabs will acknowledge the concern within 10 business days and propose a structured resolution path
• Both parties agree to attempt resolution in good faith before pursuing any external process such as mediation or arbitration
• Where a resolution requires rework or changes beyond what was originally agreed in the SOW, those revisions will be assessed and charged on the basis of the nature and volume of changes made — displeasure with a deliverable does not automatically entitle the client to unlimited revisions at no cost
• Unilaterally withholding payment or demanding a full refund outside the process described here is not an accepted form of dispute resolution and may be treated as a breach of the payment terms
• If internal resolution is not reached, both parties agree to pursue mediation before litigation, in accordance with the Governing Law clause

Confidentiality

We treat your business and product information as confidential and use it only to deliver the engagement. Either party may request a mutual non-disclosure agreement, which will take precedence on confidentiality matters where its terms are more specific.

Governing Law

This Agreement is governed by the laws of India, and any disputes are subject to the exclusive jurisdiction of the courts located in India. Where a signed statement of work specifies different terms, that SOW governs the specific engagement.
